These Service Terms apply to services supplied by Digital Energy Revolution Ltd trading as Hours Gained.
Hours Gained services are supplied to business customers only. They are not offered under these terms to consumers acting wholly or mainly outside their trade, business, craft or profession.
1. The agreement
A project begins when we issue a proposal, quotation or written scope and you accept it in accordance with the stated acceptance process.
The agreed proposal or quotation, together with these Service Terms, forms the contract between us. If there is a conflict, the specific written proposal takes priority.
2. Scope
We will provide the work described in the agreed scope. Anything not reasonably included in that scope is outside the project unless subsequently agreed in writing.
We may recommend that particular steps remain subject to human review, approval or judgement rather than being fully automated.
3. Pricing and payment
Unless the proposal states otherwise, bespoke implementation projects are payable:
- 50% deposit before work begins; and
- 50% balance before the completed solution goes live.
Prices exclude third-party software, subscriptions, licences, usage charges or other external costs unless expressly included in the proposal.
We may pause work where an amount that is due remains unpaid.
4. Changes to scope
If you request a material change after the scope has been agreed, we may provide a revised price, timescale or change quotation before carrying out the additional work.
Minor adjustments reasonably required to complete the agreed scope do not necessarily constitute a change request.
5. Your responsibilities
You are responsible for providing information, decisions, approvals, system access, credentials, test data and cooperation reasonably required to complete the work.
You are responsible for ensuring that you have authority to give us access to systems, accounts, data and third-party services involved in the project.
Delays in providing required information or access may affect the project timetable.
6. Third-party systems
Solutions may interact with software, platforms, APIs or services provided by third parties.
We are not responsible for outages, restrictions, pricing changes, API changes, discontinued functionality or other changes made by third-party providers outside our control.
Where a third-party change requires additional development after delivery, that work may be chargeable.
7. Testing and acceptance
We will carry out reasonable testing before handover or go-live. You must also review the solution against the agreed business process and notify us promptly of any material issue.
Use of the completed solution in normal business operations will normally indicate acceptance, subject to the defect correction provisions below.
8. 30-day defect correction period
For 30 days following go-live, we will correct reproducible defects where the delivered solution does not materially operate in accordance with the agreed scope.
This does not include new requirements, changes to the client's process, third-party platform changes, additional integrations, user error or work outside the original scope.
9. Ongoing support
Ongoing monitoring, maintenance, development or support is not included unless specifically stated in the proposal or covered by a separate support arrangement.
Where managed support is agreed, its scope, price and service arrangements will be confirmed separately.
10. Intellectual property
You retain ownership of your business data, customer information, documents, branding and materials supplied by you.
Digital Energy Revolution Ltd retains ownership of its pre-existing and reusable methods, templates, workflow architecture, know-how, automation patterns, scripts, libraries and other underlying intellectual property.
Once all project fees have been paid, you receive a continuing non-exclusive licence to use the delivered solution internally for your business purposes, unless the proposal states otherwise.
Third-party software and services remain subject to their own licence terms.
11. Confidentiality
Each party will take reasonable steps to protect confidential business information received from the other and will not disclose it unnecessarily except where required to deliver the services, obtain professional advice or comply with law.
12. Data protection
Each party is responsible for complying with applicable data protection law in relation to personal information it controls.
Where the nature of a project requires additional processor, data-sharing or security terms, these may be agreed separately.
13. Human oversight
Unless expressly agreed otherwise, automated workflows are intended to support business operations rather than replace appropriate human judgement for consequential decisions.
You remain responsible for business decisions, approvals and actions taken using information or outputs produced by the solution.
14. Cancellation and termination
Either party may terminate a project where the other commits a material breach and fails to remedy it within a reasonable period after being asked to do so.
If you cancel after work has begun, amounts already paid may be applied against work performed, committed project time and non-refundable third-party costs. Any additional work already completed but unpaid may also become payable.
15. Liability
Nothing in these terms limits liability that cannot lawfully be limited, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
Subject to the above, neither party will be liable to the other for indirect or consequential loss, or for loss of anticipated profit, revenue or business opportunity that was not reasonably foreseeable.
To the maximum extent permitted by law, our aggregate liability arising from a particular project will not exceed the fees paid or payable to us for that project, unless the proposal expressly states otherwise.
16. Events outside reasonable control
Neither party will be responsible for delay or failure caused by events outside its reasonable control, including significant third-party service failures, internet outages, infrastructure failures or changes imposed by external platform providers.
17. Governing law
The contract is governed by the laws of England and Wales. The courts of England and Wales will have jurisdiction over disputes arising from the services or these terms.
